Terms of Service

These terms apply to consulting, implementation, and training engagements provided by Mission Logic. They are written for a service business, not a software platform.

Acceptance of terms

By engaging Mission Logic, requesting a proposal, signing a statement of work, paying an invoice, or otherwise using our consulting services, you agree to these Terms of Service.

If you are entering into an engagement on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

If you do not agree with these terms, do not engage our services.

Description of services

Mission Logic provides AI consulting, implementation guidance, custom tooling, workflow design, and training or workshop services for small and mid-sized businesses.

Engagements may include discovery, strategy, implementation, documentation, training, advisory support, or related deliverables described in a proposal, statement of work, or other written agreement.

We do not operate a consumer product, hosted SaaS platform, or user-account system. Our services are professional services delivered under a consulting arrangement.

Intellectual property

Mission Logic retains all rights, title, and interest in our pre-existing materials, methodologies, templates, frameworks, processes, know-how, and tools used or developed outside the scope of a specific client deliverable.

Upon full payment, client-specific deliverables created for you under a written agreement become yours to use for your internal business purposes, unless the agreement says otherwise.

You remain responsible for the content, data, and materials you provide to us, and you confirm that you have the rights needed to share them for the engagement.

Limitation of liability

Our services are provided with professional care, but AI systems and third-party tools can produce unexpected results. You are responsible for reviewing outputs, validating business decisions, and implementing appropriate human oversight.

To the maximum extent permitted by law, Mission Logic will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to our services.

To the extent any liability is found, it will be limited to the fees you paid to Mission Logic for the specific engagement that gave rise to the claim, unless a different limit is required by law or set out in a signed agreement.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law principles, unless a written agreement between the parties specifies a different governing law.

Any disputes arising from our services should first be raised with us directly so we can try to resolve the issue in good faith before any formal proceeding.
